These Terms form an agreement between you and ZONIN governing your access to and use of the getzonin.com website, ZONIN software products, and related services. By accessing or using any part of the Services, you accept and agree to be bound by these Terms. If you use the Services on behalf of a business, you represent that you are authorized to accept these Terms on that business's behalf.

ZONIN provides software tools designed to help service businesses manage customer retention, revenue recovery opportunities, follow-up, communications, and related workflows. ZONIN's initial product, ZONIN Auto, is built for automotive service businesses; additional products, such as ZONIN Med Spa, may follow.

ZONIN does not itself provide automotive repair services, medical services, aesthetic procedures, or professional diagnosis or treatment. Businesses that use ZONIN remain solely responsible for their own services, their own customer relationships, and their compliance with applicable laws.

You must be legally capable of entering into these Terms to use the Services. You may use the Services only for lawful purposes and in accordance with these Terms.

If account functionality is provided to you, you are responsible for providing accurate information, safeguarding your login credentials, and all activity that occurs under your account. Notify us promptly if you believe your account access has been compromised.

You may not use the Services to:

• Engage in unlawful activity or fraud
• Send abusive, harassing, or unlawful communications, including spam or unlawful messaging
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the Services
• Attempt to circumvent security or access controls
• Violate the rights of others

Businesses using ZONIN are responsible for ensuring they have appropriate rights and permissions to submit and use customer information through the platform, and for complying with applicable privacy, consumer-protection, and communications laws in connection with that information. As between ZONIN and the businesses using the platform, ZONIN does not claim ownership of their customer data.

Individuals who expressly opt in may receive recurring SMS messages from ZONIN or from a participating business using ZONIN, depending on the messaging program and the consent provided. Message categories may include:

• Vehicle service reminders
• Recommended or declined service follow-up
• Appointment scheduling and reminders
• Customer care messages
• Re-engagement communications
• Promotional offers, where properly consented to

• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to opt out.
• Reply HELP for help.
• Consent is not a condition of purchase.
• Carriers are not liable for delayed or undelivered messages.

Opting out by replying STOP stops future messages for the applicable messaging program, subject to legally required or permitted confirmation messages. Consent applies only to the messaging program for which the person opted in; you should not assume that consent for one program applies to unrelated marketing programs.

SMS consent works as follows:

• SMS consent must be affirmative and voluntary.
• Providing a phone number alone does not automatically enroll someone in SMS communications.
• Consent to receive SMS messages may not be required as a condition of purchasing goods or services.
• Where a checkbox is used to collect SMS consent, it should be unchecked by default.
• Users must be able to decline SMS consent and still complete the underlying transaction or service, where applicable.

ZONIN branding, website content, software interfaces, and related materials are protected by applicable intellectual-property laws. The Revenue Recovery Engine™ name is a ZONIN brand and platform concept. Except as expressly permitted, you may not copy, reproduce, distribute, or create derivative works from the Services or their content.

The Services may depend on or interoperate with third-party services, such as communications or infrastructure providers. Third parties may have their own terms and policies, and ZONIN is not responsible for third-party services.

Features of the Services may evolve, change, or be discontinued over time. We do not guarantee continuous or uninterrupted availability of the Services.

ZONIN provides software tools; it does not guarantee outcomes. ZONIN does not guarantee recovered revenue, customer return rates, conversion rates, booking rates, return on investment, or any other business results.

Dashboard figures, product demonstrations, examples, and presentation data shown on the ZONIN website or in product materials may be illustrative and should not be treated as guaranteed or expected outcomes for any particular business.

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. ZONIN does not provide legal, financial, medical, or automotive professional advice.

To the maximum extent permitted by applicable law, ZONIN will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

You agree to indemnify and hold harmless ZONIN from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Services, your unlawful communications, your violation of the rights of others, or your violation of these Terms.

We may suspend or terminate access to the Services at any time for misuse of the Services or violation of these Terms. You may stop using the Services at any time.

These Terms are governed by applicable law, subject to any mandatory rights or requirements that apply to you.

We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
